Terms and Conditions

These Terms and Conditions ("Terms") govern the access to and use of the online store operated as "Alaya" and hosted on the Shopify platform ("Store"), which is owned and operated by JSS Worldwide Trade Private Limited ("Company", "we", "us" or "our"). By accessing, browsing, or using the Store and by placing an order, the individual user ("User", "you" or "your") agrees to be bound by these Terms. If the User does not agree to these Terms, the User must not access or use the Store.

1. Applicability and Scope

1.1 These Terms apply to all Users who access or use the Store, whether as a guest or as a registered account holder, and to all purchases of products made through the Store.

1.2 The Store is intended for use within India only. The Company currently accepts orders for delivery solely within the territory of India. Any reference to "territory" in these Terms shall mean India, unless otherwise specified.

1.3 These Terms shall be read together with our Privacy Policy and any other policies that may be displayed on the Store from time to time. By using the Store, the User consents to and agrees to be bound by all such policies.

2. Eligibility

2.1 The User must be competent to contract within the meaning of the Indian Contract Act, 1872. By accessing or using the Store, the User represents and warrants that the User is at least 18 years of age and is otherwise competent to enter into a binding contract under applicable law.

2.2 If the User is accessing or using the Store on behalf of a third party, including a company or other legal entity, the User represents and warrants that the User is authorised to bind such third party to these Terms.

3. Account Registration and Security

3.1 The User may be required to create an account to use certain features of the Store or to place orders. The User agrees to provide accurate, current and complete information during the registration process and to keep such information up to date at all times.

3.2 The User is responsible for maintaining the confidentiality of the User's account credentials, including the username and password, and for all activities that occur under the User's account. The User agrees to immediately notify us of any unauthorised access to or use of the User's account.

3.3 The Company reserves the right to suspend, restrict or terminate any User account at any time, with or without notice, if it believes that the User has breached these Terms or any applicable law, or for any other reasonable cause.

4. Products, Availability and Colours

4.1 The products offered on the Store ("Products") are subject to availability. We reserve the right to limit the quantities of any Products that we offer and to discontinue any Product at any time without prior notice.

4.2 We endeavour to display Product colours and images as accurately as possible. However, we do not guarantee that the User's device display of any colour will be accurate, and minor variations in colour or appearance shall not constitute a defect or a ground for rejection of the Product.

4.3 All descriptions of Products, pricing, offers and promotions are subject to change at any time without notice, at our sole discretion.

5. Pricing, Taxes and Typographical Errors

5.1 All prices displayed on the Store are in Indian Rupees (INR) and are inclusive or exclusive of applicable taxes as may be specified on the Product or checkout page. The User shall be responsible for payment of all applicable taxes, including goods and services tax (GST), duties, levies, and other charges, as may be levied under applicable law.

5.2 We use reasonable efforts to ensure that pricing and other Product information on the Store is accurate, but errors may occur. In the event that a Product is listed at an incorrect price or with incorrect information due to an error, we reserve the right, at our sole discretion, to refuse or cancel any orders placed for that Product, regardless of whether the order has been confirmed or payment has been made. In such cases, we will initiate a refund, if applicable, in accordance with our refund practices.

5.3 We reserve the right to modify prices at any time without prior notice. Such changes shall not affect orders already confirmed by us.

6. Order Placement, Acceptance and Cancellation by the Company

6.1 The User may place an order for Products by following the instructions on the Store. Placing an order constitutes an offer by the User to purchase the selected Products in accordance with these Terms.

6.2 Receipt of an order confirmation or payment confirmation does not constitute acceptance of the User's order by the Company. Acceptance of the order shall occur only upon dispatch of the Product(s) to the User and communication of such dispatch (for example, via email or SMS). The Company reserves the right to refuse or cancel any order for any reason, including unavailability of Products, errors in pricing or Product information, suspicion of fraudulent activity, or other legitimate reasons.

6.3 If the Company cancels an order after the payment has been processed, the Company will initiate a refund in accordance with Section 9 below.

6.4 The Company may impose quantity restrictions or limits on orders placed by a User, including per person, per account, per address or per order limits.

7. Payment and Payment Gateways

7.1 Payments for Products shall be made through the payment methods made available on the Store, which may include credit cards, debit cards, net banking, UPI, digital wallets or other methods as enabled by third-party payment gateway providers.

7.2 The User acknowledges and agrees that payments are processed by independent third-party payment gateways and financial institutions, and that the Company does not store any complete payment instrument details such as full card numbers or UPI PINs on its own systems.

7.3 The User agrees to provide valid, accurate and complete payment information and authorises the payment gateway to charge the applicable amount for the order. In case of any failure of payment or chargeback, the order may be cancelled by the Company.

7.4 The Company shall not be liable for any unauthorised use, fraud, payment failures, or other issues arising out of or in connection with third-party payment gateways, except to the extent required under applicable law.

8. Shipping, Delivery and Risk of Loss

8.1 The Company currently ships Products only within India, to the locations serviceable by its logistics partners. Delivery timelines displayed on the Store are indicative estimates and may vary depending on location, logistics, and other factors beyond our reasonable control.

8.2 Risk of loss and title to the Products shall pass to the User upon delivery of the Products to the shipping address provided by the User, as evidenced by the records of the courier or logistics partner.

8.3 The User shall ensure that the shipping address and contact details provided are accurate and complete. The Company shall not be liable for delays or non-delivery arising out of incorrect or incomplete address details or the User's unavailability at the time of delivery.

8.4 If a package is returned to the Company due to the User's unavailability or incorrect address, the Company may, at its discretion, attempt redelivery subject to additional shipping charges, or cancel the order and process a refund net of logistics and handling charges, if applicable.

9. Returns, Exchanges and Refunds

9.1 The Company's policies with respect to returns, exchanges and refunds shall be as specified on the Store from time to time ("Returns Policy"). The Returns Policy forms an integral part of these Terms and the User is advised to carefully review the same before placing an order.

9.2 Subject to the Returns Policy and applicable law, eligibility for returns or exchanges may depend on factors including the nature of the Product, condition of the Product, time elapsed since delivery, and reason for return.

9.3 Refunds, if approved, shall be processed to the original method of payment or to such other method as may be specified in the Returns Policy, within a reasonable time, subject to the procedures of the relevant payment gateway and bank.

9.4 The Company reserves the right to reject returns or refund requests that do not meet the criteria set out in the Returns Policy, or where it reasonably suspects misuse of return policies or fraudulent activity.

10. User Obligations and Acceptable Use

10.1 The User agrees to use the Store only for lawful purposes and in accordance with these Terms.

10.2 The User shall not:
(a) use the Store in any manner that violates applicable law or infringes any third-party rights;
(b) attempt to gain unauthorised access to any portion or feature of the Store, or to any systems or networks connected to the Store;
(c) interfere with or disrupt the operation of the Store or servers or networks used to make the Store available;
(d) use any automated means, including robots, crawlers or data mining tools, to access, monitor or copy any part of the Store, without our prior written consent;
(e) engage in any activity that could damage, disable, overburden or impair the Store; or
(f) impersonate any person or entity or misrepresent the User's identity or affiliation with any person or entity.

11. Intellectual Property Rights

11.1 All rights, title and interest in and to the Store, including its content, design, logos, trademarks, graphics, text, images, software, and other materials (collectively, "Content"), are owned by or licensed to the Company and are protected under applicable intellectual property laws.

11.2 The User is granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Store and view its Content solely for personal, non-commercial purposes in accordance with these Terms.

11.3 The User shall not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content, except as expressly permitted by the Company in writing.

12. Third-Party Services and Links

12.1 The Store may include integrations with third-party platforms and services, including Shopify as the e-commerce platform provider, payment gateways, logistics providers, and social media platforms. The User's use of such third-party services shall be subject to the terms and privacy policies of the relevant third parties.

12.2 The Store may contain links to third-party websites or resources. Such links are provided for convenience only, and the Company does not endorse and is not responsible for the content, products, or services available on or through such third-party websites or resources.

12.3 The User acknowledges and agrees that the Company shall not be liable, directly or indirectly, for any loss or damage caused or alleged to be caused by or in connection with the use of or reliance on any such third-party services, websites or resources.

13. Disclaimer of Warranties

13.1 To the fullest extent permitted by applicable law, the Store and all Products and services provided through the Store are provided on an "as is" and "as available" basis, without any representations or warranties of any kind, whether express, implied or statutory.

13.2 Without limiting the foregoing, the Company disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

13.3 The Company does not warrant that the Store will be uninterrupted, secure, or error-free, or that any defects will be corrected, or that the Store or the servers that make it available are free of viruses or other harmful components.

13.4 The Company does not make any representations or warranties regarding the quality, suitability, accuracy, or availability of any Products, except as expressly stated on the Store or as required under applicable law.

14. Limitation of Liability

14.1 To the fullest extent permitted by applicable law, in no event shall the Company, its directors, officers, employees, agents or affiliates be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, loss of data, loss of goodwill, or other intangible losses, arising out of or in connection with the User's use of or inability to use the Store or any Products purchased through the Store.

14.2 To the fullest extent permitted by applicable law, the aggregate liability of the Company for any claim arising out of or relating to these Terms, the Store or the Products, whether in contract, tort or otherwise, shall not exceed the amount actually paid by the User to the Company for the Product(s) giving rise to such claim.

14.3 Nothing in these Terms shall limit or exclude any liability that cannot be limited or excluded under applicable law.

15. Indemnity

15.1 The User agrees to indemnify, defend and hold harmless the Company, its directors, officers, employees, agents and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) the User's breach of these Terms or of any applicable law; (b) the User's misuse of the Store; or (c) the User's infringement of any rights of any third party.

16. Force Majeure

16.1 The Company shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay is caused by an event or circumstance beyond its reasonable control, including but not limited to acts of God, flood, fire, earthquake, explosion, epidemic or pandemic, war, terrorism, civil commotion, labour disputes, embargoes, government orders, or failure of telecommunication or internet services ("Force Majeure Event").

16.2 In the event of a Force Majeure Event, the Company shall be excused from further performance of its obligations for the duration of such event, provided that it uses reasonable efforts to mitigate the effects of the Force Majeure Event.

17. Changes to the Store and these Terms

17.1 The Company reserves the right, at any time and from time to time, to modify, suspend or discontinue any part or all of the Store, with or without notice.

17.2 The Company may amend or update these Terms from time to time. The updated Terms will be posted on the Store with an updated effective date. The User is encouraged to review these Terms periodically. Continued use of the Store after such changes shall constitute deemed acceptance of the revised Terms.

18. Governing Law and Jurisdiction

18.1 These Terms shall be governed by and construed in accordance with the laws of India.

18.2 Subject to applicable law, the courts having jurisdiction in Chandigarh, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, the Store, or any Products purchased through the Store.

16. Force Majeure
